Transactions
Sale to MarketStar (US)
Advised the founders of Out2Bound, a Bulgarian sales development agency, on the sale of the company to MarketStar, a US sales outsourcing group. Management presentation, data room, forecast and definitive agreements, followed by post-closing finance integration with the acquirer.
EUR 2 million+ financing from institutional investors
Advised Sqilline Health, a healthcare data analytics company operating in several CEE markets, on a EUR 2 million+ round from institutional investors. Financial model, investor outreach, data room and due diligence responses, term sheet and capital increase.
EUR 1 million round and conversion to a joint-stock company
Advised Sensika Technologies, a global media monitoring and analytics company, on a EUR 1 million round at a EUR 25 million pre-money valuation, and on the subsequent conversion of the company from a limited liability company into a joint-stock company. A Blackpeak partner sits on the board.
Acquisition of a licensed payment institution
Advised a private investor on the acquisition of a Bulgarian licensed payment institution: transaction documentation, forecast and sensitivity review, information for the central bank, closing and post-closing amendments to the share purchase agreement.
Acquisition of a sports fan engagement platform
Advised on the acquisition of a multi-stakeholder mobile platform for sports fans and their clubs, with an integrated payment layer. Valuation framework, term sheet, shareholders’ agreement and staged capital increases. A Blackpeak partner sits on the board.
Information process with a global strategic investor
Prepared five-year consolidated historical financials and forecasts for a CEE gaming group and managed the information flow and responses in a process with a global strategic investor.
Sale of a business jet and wind-down of the owning SPV
Advised the owner on the sale of a business jet: valuation, purchase and sale agreement, regulatory filings and post-closing settlement, followed by the capital reduction and wind-down of the special-purpose company that owned the aircraft.
Seed round structuring and documentation
Structured and documented a seed round for a Bulgarian technology start-up: term sheet, articles of association, cap table, capital increases and option vesting arrangements.
